How do I purchase shares of Verde? Do you have a Direct Stock Purchase Plan?
Verde’s ordinary shares trade on the Canadian Toronto Stock Exchange (“TSX”) under the symbol “NPK”

To purchase shares, you will need to do so through a broker. If you do not have a brokerage account, you will need to open one. At this time, Verde does not have a direct stock purchase program.

Does Verde pay a dividend? Does it plan to?
The Company has neither declared nor paid any dividends on its Ordinary Shares since the date of its incorporation. Up to this moment, the Company has retained its earnings to finance growth and expand its operations. In February 2022, the Company has assembled a Special Committee to evaluate when and how to share profits with shareholders. The Special Committee is comprised of independent directors of the Board, consisting of Mr. Michael St Aldwyn (Verde’s Lead Independent Director), Mr. Renato Gomes, and Mr. Paulo Sérgio Ribeiro. The Paid for Growth (“P4G”) program is being engineered in detail to enable the Company to distribute earnings to shareholders while expanding production without compromising Verde’s growth. The Special Committee’s studies will be the cornerstone for P4G’s elaboration.

How can I vote my shares without attending the Annual Meeting of Stockholders?
Registered shareholders can cast their votes in advance of the meeting following the instructions outlined in their proxy packages:

Where can I find updates about the permits?
Verde has 3 different mine pits, each one at a different permitting stage and targeting different volumes. Under Brazilian law, a pit is fully permitted to mine when the Company holds both a Mining Concession/Permit and Environmental License for that area. The Company is fully permitted to mine 2,833,000 tpy and has submitted concurrent mining and environmental applications for an additional 2,500,000 tpy, still pending approval.

What are Verde’s products?
Verde’s marketed products are K Forte®, Super Greensand®, BAKS® and Silício Forte®.
What is K Forte®?
K Forte: K Forte® is a multinutrient fertilizer brand marketed in Brazil. K Forte® is a source of potassium plus approximately 70 trace elements. The product is free of sodium, chlorine, acidification, leaching, compaction and salinity, in addition to ensuring a residual effect of its nutrients. The raw material of K Forte® is Glauconitic Siltite, which is rich in the mineral glauconite. Glauconite has been continuously used in the United States as a fertilizer since 1760. Glauconitic Siltite has properties for the development and nutrition of plants, in addition to promoting the improvement of soil structure.
What is Super Greensand®?
Super Greensand® is a multinutrient fertilizer brand marketed internationally by Verde. It is a source of potassium, silicon and magnesium, nutrients of progressive release. The product is free of sodium, chlorine, acidification, leaching, compaction and salinity, in addition to ensuring a residual effect of its nutrients. The raw material of Super Greensand® is Glauconitic Siltite, which is rich in the mineral glauconite. Glauconite has been continuously used in the United States as a fertilizer since 1760. Glauconitic Siltite has properties for the development and nutrition of plants, in addition to promoting the improvement of soil structure.
What is BAKS®?
BAKS® is a combination of K Forte® plus three other nutrients that can be chosen by customers according to the needs of their crop. BAKS releases nutrients progressively, with no leaching loss. One application per crop cycle or system fertilization is sufficient. This represents more operational efficiency for the farmer.
The product is chloride-free, and therefore does not compact, acidify or salinize the soil. BAKS is rich in silicon, a nutrient that increases crop resistance against pests and diseases and protects the crop against climate change. The product also has a large surface area and high water and ion retention capacity, properties that favor microbial development.
What is Silício Forte®?
Silício Forte® is a silicon rich product, also made from Glauconitic Siltite. Silicon is an element that strengthens plant epidermal cells, which prevents water loss. Silicon also strengthens cell walls, resulting in the development of a thicker and stronger cuticle layer, forming a shield against pests and diseases. In addition, silicon improves the availability of nutrients, increases the photosynthetic rate, reduces lodging and contributes to a better capture of sunlight.
What is 3D Alliance technology?
3D Alliance is a technology developed to transform the three-dimensional structure of the raw materials added to the fertilizer. The materials are subjected to physical transformations, increasing their specific surfaces and forming microparticles that release nutrients progressively. The fertilizers resulting from the mixture are homogeneous and are distributed evenly in the soil, without segregation.
What is Micro S Technology technology?
Micro S Technology is BAKS®’s exclusive elemental sulfur micronization technology. Very small particles are easily dispersed in the soil, allowing for a larger contact surface that facilitates the work of microorganisms. Therefore, the oxidation rate increases and nutrient availability to plants happens more quickly.
A study carried out by researchers from the State University of São Paulo with soybean crop revealed that the granulometry of the sulfur source is a key factor to make sulfur available to plants. Four sources of S were tested (pelleted elemental sulfur, plaster, gypsum and powdered elemental sulfur). The application of pelleted sulfur resulted in lower number of pods per plant, number of grains per plant and grain yield per pod than all other sources.
What is N Keeper Technology?
N Keeper Technology is a proprietary processing technology for glauconitic siltstone that alters its physical-chemical properties to enable ammonia retention for use as a calibrated additive in Nitrogen fertilizers. N Keeper® accentuates the negative correlations in the glauconite grains, identified by electron micro spread dispersive energy spectrometer in an electronic microprobe, indicating cationic substitutions giving to the mineral the characteristics of an anion. These unbalanced anions allow cationic exchanges between the potassium present in interlayers of glauconite with ammonium (NH4+) ions present in the soil. Therefore, N Keeper® provides a high capacity of ammonia retention, leading to the reduction of Nitrogen volatilization loss, which provides the efficiency of crop fertilization’s increase, mitigation of environmental impacts, and reduction on climate changes.
What is Bio Revolution Technology?
Bio Revolution Technology is Verde’s technology that enables the incorporation of microorganisms to mineral fertilizers. K Forte® will be the first fertilizer in the world to use Bio Revolution technology. The Company has filed for patent protection of its Bio Revolution technology.
What is Dust Control Technology?
Dust Control Technology promotes a slight aggregation effect on the ultrafine particles of K Forte® and BAKS®, enabling the optimization of crop fertilization by reducing drift during application. The micro-particles are easily dispersed in the soil and their contact is maximized by the ultrafine particle size of Verde's fertilizers, providing uniform application and efficient nutrition to crops.
